DISNEY’S PEAS IN A POD CASTING COMPETITION RULES

Promoter: The Walt Disney Company Limited, 3 Queen Caroline Street, London W6 9PE (“Disney”).

Disney is organising this casting prize competition” (“Casting Competition”) where three Winners will win the chance to become a voice of one of the Peas in a Pod characters (of which there are three) on the Disney/Pixar Blu-ray/DVD release in the United Kingdom and Ireland of its film Disney Pixar Toy Story 3 (the “Film”). Any participation in the Casting Competition implies full and complete acceptance of all the rules of the Casting Competition set out below.

1. The Casting Competition is open to UK residents only. Only 1 entry application per person is permitted. Entry is not permitted for employees or agents of Disney or anyone professionally connected to the Casting Competition, including any immediate family members.

2. Entrants aged 17 years or under will need parent/guardian permission and proof of age will be required. Disney reserves the right to reject any entry without valid parent/guardian consent.

3. Entries will not be accepted if sent via an agent, third party or robotic method.

4. Entry Dates: 12 July 2010 through to 23:59 on 1 August 2010

5. Finalist confirmation date required by 5 August, 2010

6. Voice Dubbing Date: 9 August, 2010. As it is summer holiday time please check you would be available to attend the Voice Dubbing Day if you are chosen as a Finalist prior to entering this Casting Competition.

7. No purchase is necessary to enter the Casting Competition.

8. Disney does not guarantee continuous, uninterrupted or secure access to the Casting Competition webpage, Recording Device or Disney’s websites. Disney does not accept responsibility for lost, damaged, invalid or inaudible entries.

9. The Casting Competition will be in 2 stages as set out below: Stage 1 is the application & initial judging stage and Stage 2 is the voice dubbing & final judging stage.

STAGE 1: ONLINE APPLICATION & INITIAL JUDGING

Stage 1 How To Apply:

10. Register or log on to Disney’s website (www.disney.co.uk). Registration can be done after entry but is necessary. Registered details will only be used in accordance with Disney's current published Privacy Policy.

11. Listen to the Peas in a Pod sound bite and follow the instructions on how to record an entry on the recording device located on the Casting Competition webpage (“Recording Device”) using the script provided (“Recording”). Only entries using the sequence of script provided will be accepted. Recordings must be in made on the Recording Device. Any vocal performance not using the exact script sequence or Recording Device will not be considered and will be disqualified.

12. A Recording should be no longer than 60 seconds.

13. Entrants must submit their Recording before the closing date: 23:59 on 1 August, 2010

14. If an entry does not meet Disney’s instructions on how to enter then Disney reserves the right to disqualify an entry without further notice.

15. An entrant must be either be the voice and owner of the Recording submitted or have the permission of the Recording owner before submitting their Recording for entry.

Stage 1 Judging:

16. From all valid entries received and subject to validation procedures, the judging panel will select nine finalists to go forward into the next stage (“Finalists”) where all Finalists will spend half a day at Pinewood Studios to record a professional voice dub for a Pea in a Pod character and have a tour of Pinewood Studios (“Voice Dubbing Day”).

17. The judges will select the most suitable Finalists whose Recordings are the same as or closest to the tone and texture of the Peas in a Pod sound bite on the Casting Competition webpage. The Judges decision is final.

18. The judging panel for Stage 1 will consist of employees from Disney and Pinewood Studios and/or their agents.

Stage 1 Notification & Required Response:

19. Each entrant (or parent/guardian if 17 or under), selected by the judges to move forward to Stage 2, will be contacted by email and phone for verification purposes by 5 August, 2010. The email will contain an overview of the Voice Dubbing Day and an assignment of rights document which must be signed by each Finalist (or Finalist’s parent/guardian if 17 or under) either before or at the Voice Dubbing Day.

20. If a Finalist does not reply to the selection e-mail and/or can’t be verified on the phone by 4pm on 5 August they risk forfeiting the chance to attend the Voice Dubbing Day and/or the Prize.

21. Once a Finalist (or parent/guardian if 17 or under) has been verified and agreed to the assignment of rights document, they will be sent full details of the Voice Dubbing Day and Disney will arrange necessary travel and accommodation to participate in the Voice Dubbing Day.

22. Disney reserves the right to select another Finalist if a reply is not received in time, the Finalist cannot be verified by Disney and/or an assignment of rights document is not agreed to in time, and Disney shall have no liability to previously-selected Finalists who have not replied, been verified or agreed to a signed assignment of rights document in time.

23. There will be three Winners selected each to be one of the voices of the Peas in a Pod characters on the Disney Blu-ray and DVD release of Disney Pixar Toy Story 3.

STAGE 2: VOICE DUBBING DAY & FINAL JUDGING

Stage 2 Participation:

24. Each Finalist will be required to attend the Voice Dubbing Day to record a professional dub of their voice. The Voice Dubbing Day will take place on Monday 9 August 2010 at Pinewood Studios in Buckinghamshire. As part of the Voice Dubbing Day, Disney shall provide for each Finalist plus 1 guest or parent/guardian for Finalists aged 17 or under economy rail travel (air travel for Northern Ireland, Scottish Islands, Isle of Man, Scilly Isles or Channel Island residents), 1 night accommodation, transfers between station, hotel and Pinewood Studios, lunch, dinner and breakfast. Finalists (or parent/guardian for Finalists aged 17 or under) must make and pay for any other cost and expense.

25. Both the post-production of the Film and the Voice Dubbing Day are subject to very tight timing schedules so in the unlikely event the Voice Dubbing Day date needs to change, Disney will notify each Finalist. In the event a Finalist is unable to make the new Voice Dubbing Day date, Disney, in its absolute discretion, reserves the right but not the obligation to select another entrant to be a new Finalist and Disney shall have no liability in respect of the initially selected Finalist.

Stage 2 Judging:

26. The Stage 2 judging panel will choose the Winners on the basis of their presentation made at the dubbing session and the most suitable voice for the three Peas in a Pod characters dubbed during the Voice Dubbing Day. The Judges decision is final

27. The judging panel for Stage 2 will consist of employees of Disney; Pinewood Studios; the Film Director; and the Film’s Casting Director.

Stage 2 Notification & Required Response:

28. The Winners will be notified within 3 weeks of the Voice Recording Day. A Winner may be required to attend Pinewood Studios to re-record their dub for a voice of a Pea in a Pod character but Disney shall advise when notifying a Winner and will make further arrangements at that time.

29. Due to very tight production schedule timing the Winners must reply to that e-mail within 48 hours of Disney issuing the email or risk forfeiting the Prize.

30. Disney reserves the right to select another Winner if a reply is not received in time and Disney shall have no liability to the previously-selected Winner who has not replied in time.

GENERAL RULES

31. Disney shall not be held liable if for any reason it has to cancel, curtail, extend or change any element or conditions of the Casting Competition including the Voice Dubbing Day.

32. Disney may cancel or suspend all or part of the Casting Competition including the Voice Dubbing Day if it appears that fraud has been committed in any way in participating in the Casting Competition. In such an event, it reserves the right not to revoke an invitation to the Voice Dubbing Day and/or award the prize to the fraudulent person(s) and/or to bring legal proceedings against the instigators of such fraud before the competent courts.

33. Disney reserves the right to change, interrupt, postpone or cancel the Casting Competition including the Voice Dubbing Day if external circumstances require this, for technical or legal reasons or if Disney suspects that any person has been manipulating the administration of the Casting Competition or has acted unethically in any other way.

34. Any Recording submitted as an entry to the Casting Competition, Dub or content recorded, filmed and/or photographed as part of either the Casting Competition the Voice Dubbing Day (“Content”) shall become the property of Disney. By submitting a Recording or participating in the Content Entrants give Disney the right to display and make such Content available to the public and/or to use and exploit it or allow others to use or exploit it in any manner or media whatsoever. Disney may display or publish a Finalist’s Recording or any Content on the Casting Competition website, Disney’s website and for publicity purposes both during and after the campaign. Entrants also understand that they will not be compensated for any use of a Recording, Dub or Content in any manner and acknowledge that they have no expectation of compensation in connection with any such use or exploitation.

35. Each Winner agrees to sign a contract(s) with Disney Characters Voices authorizing Disney and/or their representatives or agents to use the vocal performance of the Winner as recorded in the Voice Dubbing Day. A Winner may be required to participate in one or more dubbing sessions to redub their voice of a Pea in a Pod character after the Winner is notified. Signature of the contract(s) is a condition of entry.

36. Disney may request a Winner to: (i) perform duties to promote the Film on its release; and (ii) be filmed, photographed or interviewed about their experience and the Film with the media.

37. The Winners and Finalists expressly authorizes Disney and its beneficiaries to:

a. exploit free of charge the Recording, Dub, Content the Finalists and/or Winner’s participation in the Casting Competition in a special bonus film relating to the Pea-In-The-Pod Casting Competition which may be offered as an additional item on the DVD/Blu-ray Film release, and which may be wholly or partly broadcast on television and the Internet;

b. digitise, reproduce, communicate and broadcast the Recording, Dub, and/or Content of the Winners on Disney’s websites relating to the world of Toy Story 3. The Winners agrees to grant such authorization throughout the period of the rights.

c. freely use surname, name and the name of a Winner’s town/county of residence in promoting the Film or in promotions organised by Disney relating to the Film, worldwide and for the total period of exploitation of the Film.

38. It is agreed that a Winner’s authorisation for the Recording, Dub and/or Content will be given for any reproduction and broadcasting by any means and on any press media in the Territory of United Kingdom and Republic of Ireland, including British overseas territories and departments, and on any merchandising media, including brochures, catalogues, sales materials and leaflets, without limitation. Such authorisation will be given without any limitation on quantities, in any format and using any framing, colour schemes and materials.

39. The Winners’ names will be displayed on the Casting Competition webpage for at least thirty (30) days after all Prizes have been awarded.

40. No Prize is transferable. No cash alternative is available. In the unlikely event a Prize becomes unavailable Disney reserves the right to substitute a Prize which it reasonably determines as being of equal value.

41. These Casting Competition Rules are subject to the laws and jurisdiction of the courts of England and Wales.
